Terms of Service

1. Acceptance of Terms

By accessing or using the G-Matrix Notify platform at notify.ramacsystems.com ("the Service"), operated by G-Matrix Systems (Pty) Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

The Service provides automated WhatsApp notifications for GPS tracking events originating from the Navixy platform. It includes a management portal for tracking message delivery, managing credit balances, and administering client accounts.

3. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these terms.
  • Accounts are provisioned by the platform administrator. You may not share or transfer your account.

4. Credits and Payments

  • WhatsApp messages are billed on a per-message credit system.
  • Credits can be purchased via PayFast or added manually by the administrator.
  • Credits are non-refundable once purchased.
  • Messages will not be sent if the client's credit balance is insufficient.
  • We reserve the right to adjust credit pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for spam, phishing, or unsolicited messaging.
  • Attempt to circumvent security measures or access controls.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service in violation of any applicable law or regulation.
  • Reverse engineer, decompile, or disassemble any part of the Service.

6. WhatsApp Compliance

The Service uses the WhatsApp Cloud API provided by Meta Platforms, Inc. All messages sent through the Service must comply with:

  • WhatsApp Business Policy and Commerce Policy.
  • Meta Platform Terms.
  • Applicable data protection regulations including POPIA (South Africa).

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by South African law:

  • The Service is provided "as is" without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
  • We are not responsible for the accuracy or timeliness of GPS tracking data received from Navixy.

9. Intellectual Property

All content, design, and software comprising the Service are the property of G-Matrix Systems (Pty) Ltd and are protected by applicable intellectual property laws.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases immediately. Sections relating to liability, intellectual property, and governing law survive termination.

11. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

12. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised terms.
